Affiliate Agreement
Effective date: February 1, 2024
This Affiliate Agreement ("Agreement") is entered into between Aurras Transformation ("Company") and the affiliate ("Affiliate") who wishes to promote Aurras Transformation products and earn commissions.
- Enrollment in the Affiliate Program
1.1 To become an affiliate, the Affiliate must complete the application process and agree to the terms and conditions of this Agreement.
1.2 The Company reserves the right to accept or reject any application at its sole discretion.
- Affiliate Responsibilities
2.1 The Affiliate agrees to promote Aurras Transformation products in a lawful and ethical manner.
2.2 The Affiliate will use their unique affiliate link provided by the Company to track referrals and sales.
2.3 The Affiliate will not engage in any activities that may harm the reputation or brand of Aurras Transformation.
2.4 The Affiliate will not make false or misleading claims about Aurras Transformation products.
- Commissions
3.1 The Affiliate will earn a commission for each eligible sale referred through their unique affiliate link.
3.2 The commission rate and eligibility criteria will be determined by the Company and may be subject to change.
3.3 Commissions will be paid on a regular basis as determined by the Company.
- Promotion and Marketing
4.1 The Affiliate may promote Aurras Transformation products through various marketing channels, including but not limited to websites, social media, and email marketing.
4.2 The Affiliate is responsible for ensuring that their promotional activities comply with all applicable laws and regulations.
4.3 The Affiliate will not engage in any unethical or deceptive marketing practices.
- Intellectual Property
5.1 The Affiliate acknowledges that all intellectual property rights, including but not limited to trademarks, logos, and content, belong to Aurras Transformation.
5.2 The Affiliate may use the Company's approved marketing materials for promotional purposes, but may not modify or reproduce them without prior written consent.
- Termination
6.1 Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
6.2 Upon termination, the Affiliate will no longer be eligible to earn commissions.
- Confidentiality
7.1 The Affiliate agrees to keep any confidential information received from the Company confidential and not disclose it to any third party without prior written consent.
- Limitation of Liability
8.1 The Company shall not be liable for any damages or losses arising from the Affiliate's participation in the Affiliate Program.
- Independent Contractor Status
9.1 The Affiliate acknowledges and agrees that their participation in the Affiliate Program does not create an employment relationship, partnership, joint venture, or agency relationship with the Company. The Affiliate is an independent contractor and not an employee of the Company.
9.2 The Affiliate understands and agrees that they are solely responsible for their own business expenses, including but not limited to taxes, insurance, and any other costs associated with their participation in the Affiliate Program.
9.3 The Affiliate has no authority to bind the Company or act on its behalf, and the Affiliate shall not hold themselves out as an employee or representative of the Company.
9.4 The Affiliate acknowledges that they will not be entitled to any employee benefits, such as health insurance, retirement plans, or paid time off, provided by the Company.
9.5 The Affiliate agrees to indemnify and hold the Company harmless from any claims, liabilities, or expenses arising out of or in connection with the Affiliate's misrepresentation of their relationship with the Company as an employee or agent."
- Governing Law and Jurisdiction
10.1 This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is located.
10.2 Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
By enrolling in the Affiliate Program, the Affiliate acknowledges that they have read, understood, and agreed to the terms and conditions of this Agreement.
This Agreement is effective as of the date of enrollment.
